Welcome to BioStore! These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you and Mitoo Tech LLC doing business as BioStore ("BioStore," "we," "us," or "our"). By accessing or using our website at biostore.cc and any related services (collectively, the "Service"), you agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY. This Agreement contains an arbitration provision and class action waiver that affects your legal rights. By using the Service, you agree to resolve disputes through binding arbitration and waive your right to participate in class actions.

1. ACCEPTANCE OF TERMS

By accessing or using BioStore, you represent and warrant that:

  • (a) You are at least 13 years of age;
  • (b) If you are between 13 and 18 years of age, you have obtained parental or guardian consent to use the Service and your parent or guardian agrees to be bound by these Terms;
  • (c) You have the legal capacity to enter into a binding agreement;
  • (d) You are not barred from using the Service under any applicable laws;
  • (e) You will comply with all applicable laws and regulations in connection with your use of the Service.

2. DESCRIPTION OF SERVICE

2.1 What BioStore Provides

BioStore is a software-as-a-service (SaaS) platform that enables content creators ("Sellers") to build digital storefronts, list digital products, and manage sales to their audience ("Buyers"). The Service provides tools for Sellers to create product landing pages and integrate with third-party payment processors.

2.2 Platform Role

IMPORTANT: BioStore is NOT a party to any transaction between Sellers and Buyers. BioStore merely provides the technology platform and tools to facilitate transactions. All sales are directly between Sellers and Buyers. BioStore does not guarantee, endorse, or take responsibility for any products sold through the Service, including their quality, legality, accuracy, or delivery.

2.3 Modification and Discontinuance of Service

BioStore reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Service (or any part thereof) at any time, with or without cause. You agree that BioStore shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service. We will make reasonable efforts to notify users of any significant discontinuation of the Service.

3. ACCOUNT REGISTRATION

3.1 Account Creation

To use certain features of the Service, you must register for an account. You may register using supported social login providers (such as Google or Apple ID). You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, for any reason or no reason, with or without notice. Upon termination or discontinuation of the Service, your right to use the Service will immediately cease. It is your sole responsibility to export your User Content and data prior to termination. BioStore shall have no obligation to maintain or provide any of your data after thirty (30) days from the date of Service discontinuation notice.

4. SELLER TERMS

4.1 Eligibility

To sell products on BioStore, you must be at least 18 years of age and have a valid Stripe account connected to your BioStore account.

4.2 Seller Responsibilities

As a Seller, you represent and warrant that:

  • (a) You own or have all necessary rights to sell the products you list;
  • (b) Your products do not infringe any third-party intellectual property rights;
  • (c) Your product descriptions are accurate and not misleading;
  • (d) You will fulfill all orders and deliver products as described;
  • (e) You will comply with all applicable laws, including tax obligations.

4.3 Fees and Payments

BioStore charges the following fees:

  • Free Plan: 5% transaction fee on each sale.
  • Pro Plan: 0% transaction fee (subscription fee applies).

Payments are processed through Stripe. Stripe's terms and fees also apply. Funds are deposited directly to your connected Stripe account according to Stripe's payout schedule.

5. REFUNDS AND DISPUTES

5.1 Subscription Fees (Fees paid to BioStore)

For the SaaS subscription fees paid by Sellers to BioStore (e.g., Monthly, Yearly, or Lifetime plans), we offer a 7-day money-back guarantee for new subscriptions. If you are not satisfied with the Service, please contact support@biostore.cc within 7 days of your initial purchase to request a refund. After 7 days, all subscription fees are non-refundable.

5.2 Product Sales (Fees paid to Sellers)

BioStore provides the platform for Sellers to sell their products. BioStore is not the merchant of record for these transactions. All requests for refunds regarding products purchased from a Seller must be directed to that Seller. Each Seller is responsible for their own refund policy and for issuing refunds to their Buyers. BioStore cannot force a Seller to issue a refund.

IMPORTANT - FEES ON REFUNDS: Please note that payment processing fees (charged by Stripe or other processors) are generally non-refundable. If you (the Seller) issue a refund to a Buyer, you are solely responsible for covering the cost of the original transaction fees (e.g., Stripe's processing fee). The full amount of the original purchase will be returned to the Buyer, but the processing fees will not be returned to your account. BioStore is not responsible for reimbursing these fees.

5.3 Chargebacks

  • For Subscriptions: If you initiate a chargeback for a subscription fee without first contacting us, your account may be immediately suspended.
  • For Product Sales: Sellers are responsible for handling chargebacks from their Buyers. BioStore is not liable for chargebacks incurred by Sellers. If a chargeback occurs, the Seller is responsible for the disputed amount plus any applicable chargeback fees levied by the payment processor.

5.4 Definition of "Lifetime" Subscription

If you purchase a "Lifetime" plan, you acknowledge and agree that the term "Lifetime" refers to the lifetime of the Service (BioStore) or the specific product version, and not the lifetime of the user or the company. BioStore reserves the right to discontinue the Service at any time. In the event that the Service is discontinued, "Lifetime" subscriptions will be terminated, and no refunds will be issued for the remaining period, provided that the Service was available for at least six (6) months after your purchase.

6. ACCEPTABLE USE POLICY

6.1 Prohibited Content

You may NOT use BioStore to sell, distribute, or promote:

  • (a) Pirated, counterfeit, or unauthorized copyrighted material;
  • (b) Adult, pornographic, or sexually explicit content;
  • (c) Illegal drugs, controlled substances, or drug paraphernalia;
  • (d) Weapons, explosives, or instructions for creating them;
  • (e) Content that promotes violence, terrorism, or hate speech;
  • (f) Content that exploits or harms minors in any way;
  • (g) Fraudulent schemes, scams, or misleading products;
  • (h) Malware, viruses, or malicious software;
  • (i) Personal information of others without consent;
  • (j) Any content that violates applicable laws or regulations.

6.2 Prohibited Conduct

You may NOT:

  • (a) Violate any applicable laws or regulations;
  • (b) Infringe intellectual property rights of others;
  • (c) Interfere with or disrupt the Service;
  • (d) Attempt to gain unauthorized access to any systems;
  • (e) Use the Service for any illegal purpose;
  • (f) Harass, abuse, or harm other users.

6.3 Enforcement

We do not actively monitor all content on the Service but reserve the right to remove any content and terminate any account that violates these Terms. We may act on reports from users or third parties. Violation of this Acceptable Use Policy may result in immediate account termination without notice.

7. INTELLECTUAL PROPERTY

7.1 BioStore's Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by BioStore and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

7.2 User Content

You retain ownership of content you upload to the Service ("User Content"). By uploading User Content, you grant BioStore a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of operating the Service.

8. COPYRIGHT INFRINGEMENT (DMCA)

We respect intellectual property rights. If you believe content on BioStore infringes your copyright, please submit a DMCA takedown notice to: support@biostore.cc

Your notice must include:

  • (a) A physical or electronic signature of the copyright owner or authorized agent;
  • (b) Identification of the copyrighted work claimed to be infringed;
  • (c) Identification of the infringing material and its location;
  • (d) Your contact information;
  • (e) A statement of good faith belief that the use is unauthorized;
  • (f) A statement under penalty of perjury that the information is accurate.

9. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BioStore does not warrant that the Service will be uninterrupted, error-free, or secure.

BioStore makes no representations or warranties regarding the products sold through the Service. All products are sold by independent Sellers, and BioStore has no control over and assumes no responsibility for the quality, safety, legality, or any other aspect of any product.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOSTORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL BIOSTORE'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES, IF ANY, THAT YOU PAID TO BIOSTORE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BioStore and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. DISPUTE RESOLUTION AND ARBITRATION

12.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@biostore.cc and attempt to resolve the dispute informally for at least forty-five (45) days.

12.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.

The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND BIOSTORE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

12.4 Jury Trial Waiver

YOU AND BIOSTORE HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

12.5 Exceptions

Notwithstanding the above, either party may seek injunctive relief in court for intellectual property infringement. Either party may also bring claims in small claims court if the claim qualifies.

12.6 Opt-Out Right

You have the right to opt out of the arbitration agreement by sending written notice to support@biostore.cc within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

13. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Wyoming.

14. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms constitute the entire agreement between you and BioStore regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

BioStore shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials, technical failures, or insolvency.
